Purchasing Terms & Conditions
Supplier to MED Systems shall provide the following additional information as needed or when requested.
- When the Supplier wants to change the product, process, procedures, equipment or specifications, it must acquire MED Systems, approval before changing product design, content, specifications, process requirements, technical data or requirements.
- When required, Suppliers shall provide evidence of qualification of personnel when requested by MED Systems.
- Suppliers and Sub-Suppliers to MED Systems shall maintain a quality management system compliant to a minimum of ISO 9001 unless waivered in writing in advance by MED Systems
- The Supplier shall provide the identification, and revision status of specifications, drawings, process requirements, inspection/verification instructions and other relevant technical data when requested by MED Systems.
- The Supplier shall notify MED Systems, of nonconforming product when found in its facility (ies) or if found at another customer from the same lot number.
- Obtain MED Systems, approval for disposing of the supplier nonconforming product disposal at MED Systems
- Suppliers shall notify MED Systems, of changes in product and or process, changes of the Supplier’s raw material suppliers, changes of manufacturing facility location(s), and when needed, obtain MED Systems, approval in writing.
- Supplier shall notify MED Systems, and appropriate regulatory authorities should they find counterfeit or fraudulent materials or product that were intended or delivered.
- When informed by MED Systems, the Supplier shall maintain technical test specifications, records, verification records, number of products reviewed, storage conditions and any audit or investigation reports when product compliance testing records must be retained. MED Systems will inform the Supplier of the retention period if less than (10) ten years.
- MED Systems, its Customer(s) and regulatory authorities retain the right to access all applicable Supplier organization’s manufacturing areas and their suppliers and be given the authority to review product validation or quality records with 24-hour notice.
- MED Systems’ suppliers are to flow down our requirements to their suppliers as applicable.
- When MED Systems issues a Corrective Action Request (CAR) to a Supplier, the CAR is to be responded to within (30) days. Failure of the Supplier to submit a valid CAR within (30) days to MED Systems, will allow us to withhold payment until the CAR properly addresses the issue and is returned to MED Systems.
- MED Systems’ or a third party, approved by MED Systems’, may conduct product verification activities at our site, your site or a third party. The issue that is considered “suspect” be found, the supplier, will be responsible for the cost.
- Supplier will ensure persons working on MED Systems products/materials are aware of:
- Their contribution to product conformity,
- Their contribution to product safety, and
- The importance of ethical behavior.
- MED Systems strives to be a good corporate citizen. We are committed to ensuring the health, safety and protection of people who come into contact with our products and business, and we require high social, environmental and human rights standards among our suppliers. Managing our obligations in relation to Conflict Minerals is a part of our corporate responsibility.
- It is essential that MED Systems employees and suppliers work in safe and clean environments. We seek to act in accordance with industry standards in occupational health and safety and environmental responsibility in all our operations. We are committed to meeting all health, safety and environmental laws and regulations that apply to us and seek to monitor and review each operation with a goal of continuous improvement.
- MED Systems respect the privacy of our customers, suppliers and employees and are committed to protecting their personal information. We will collect, use and disclose personal information only for legitimate business or employment purposes or if required by the law. We also take reasonable steps to protect the confidentiality of personal information we have collected.
- MED Systems respects the human rights of our employees, customers, vendors and other stakeholders important to our business. We comply with all Federal, State and other international human rights laws and regulations that apply to us. We provide fair working conditions for our employees and do not tolerate the use of child labor or forced labor in our supply chain. We also expect any vendor or other company that we work with to act ethically and to comply with a general Code of Ethics and International, Federal and Local laws in relation to human rights.
- Cyber Security and Use of Confidential Information: Cyber security of confidential information is considered a MED Systems This includes our patents, trade secrets and proprietary information relating to MED Systems, our customers and vendors, and is a valuable part of our business and we are obligated to safeguard the information. Such information should not be shared with anyone outside MED Systems unless it is required by law or for an authorized business purpose.
